DISTRICT VIII
OPERATING PROCEDURES

 

ARTICLE I. NAME
The name of this organization shall be District VIII of the Texas Library Association (TLA).

ARTICLE II. OBJECTIVES
The objective of District VIII shall be to promote library service in Texas as well as in the District and to promote and support the programs of TLA by means of planned programs in the District.

ARTICLE III. MEMBERS
Any person who is a member in good standing of TLA is eligible for membership in District 8. By default, members are assigned districts based on residency, but non-resident members may also select membership to District 8. District boundaries shall be set by TLA Executive Council.

ARTICLE IV. ADMINISTRATION
Section 1. Officers

  1. The officers of this organization shall be the Chair, Chair-Elect, Secretary, Treasurer, Councilor, Alternate Councilor, and other officers as may be needed and elected.
  2. Each officer must be a member in good standing of District VIII of TLA.
  3. These officers, with the exception of Councilor and Alternate Councilor, shall be elected annually and serve for a period of one year, beginning immediately after the TLA Annual Conference that precedes the District's annual meeting. The Councilor and Alternate Councilor shall be elected tri-annually and serve a term of three years or until a successor is elected.
  4. The Chair of the District shall preside at District meetings and direct the work of the District. He/She shall appoint all committee chairs, except that of the Nominating Committee and supervise their activities.

Their terms of office shall be for one year or until their successors are appointed. Any committee chair may be reappointed provided that no committee chairs shall chair the same committee for more than two consecutive years.

The Chair-Elect shall act as an aide and alternate for the Chair, performing the duties of Chair in the absence of that officer.

The Secretary records minutes, maintains records and conducts the correspondence of the District.

The Treasurer maintains financial records and deposits District funds in the TLA office.

The Councilor attends all TLA Councils, submits District resolutions for Council action, and acts as the voting representative for the District at TLA Council. In the absence of the Councilor, the Alternate Councilor shall perform the duties of the Councilor.

Section 2. Elections

  1. A District Nominating Committee appointed by the Executive Committee, with the exclusion of the Chair, shall present a slate of candidates for all offices. There shall be at least two candidates for the office of Councilor. Nominations may be made from the floor.
  2. All officers shall be elected by a plurality of the membership of District VIII voting at the annual District meeting from a slate proposed by the District Nominating Committee.
  3. For the office of Councilor and Alternate Councilor, the candidate with the highest number of votes shall be elected as Councilor, and the candidate with the next highest vote shall be elected as Alternate Councilor
  4. Except for Councilor, elections are not required for candidates running unopposed.

Section 3. Executive Committee

  1. The elected officers shall constitute the Executive Committee and shall administer the business of the District when it is not in session.
  2. The Executive Committee shall meet at TLA Annual Conference and TLA Annual Assembly. Other meetings may be held as deemed necessary by the Chair or by a majority of the Committee.

Section 4. Vacancies

  1. Chair and Vice-Chair
    The Chair-Elect shall become Chair if a vacancy occurs in the office of Chair. The Chair-Elect shall serve out the remainder of that term and then serve the term as Chair for which she/he was elected. If both of these become vacant simultaneously, the President of TLA shall appoint a new Chair, who shall serve the unexpired term of office.
  2. Councilor
    A Councilor who misses two consecutive meetings shall be replaced by the Alternate Councilor and a new Alternate Councilor shall be appointed by the Executive Committee to serve the unexpired terms.
  3. Other vacancies
  4. The Chair, with the approval of the Executive Committee, shall appoint someone to fill any other vacancy on the Executive Committee until the next election.

ARTICLE V. MEETINGS
District VIII shall hold at least one annual meeting. A registration fee in the amount agreed upon by the officers of the District shall be charged to defray the cost of each meeting. A program of work (and/or networking) to develop a phase of library growth is appropriate for the District. Such a program should reflect the current interests and concerns of TLA as well as special interests of the District.

In addition, the District will meet in conjunction with TLA Annual Conference as a caucus and at TLA Annual Assembly as a working group to perform the business of the District.

ARTICLE VI. COMMITTEES
Committees may be created as needed by the Executive Committee or the Chair. The Chair shall appoint the chairs of each committee, with the exception of the Nominating Committee. The Executive Committee shall appoint all other members. The committees shall serve until their charges have been completed and reports have been accepted, or until such time as the Executive Committee designates.

ARTICLE VII. AMENDMENTS
These Operating Procedures may be revised or amended by District VIII at any regular meeting of the District by a two-thirds vote of the members present, provided notice of the proposed amendment has been given to the members in the call for the meeting and provided that such changes are consistent with the Bylaws and Standing Rules of TLA.

A copy of the amended Operating Procedures shall be filed with the Executive Director of TLA and with the Bylaws and Resolutions Committee of TLA.

ARTICLE VIII. PARLIAMENTARY AUTHORITY

The rules of procedure as stated in the current edition of Robert's Rules of Order, Newly Revised shall govern this unit in all cases in which they are applicable and in which they are not inconsistent with the Bylaws and Standing Rules of TLA.
