TLA District III Bylaws

ARTICLE I. NAME

The name of this organization shall be District 3 of the Texas Library Association.

ARTICLE II. OBJECTIVES

    1. District 3 shall support the goals and objectives of the Texas Library Association.
    2. The Executive Committee will annually review the district objectives and make changes as necessary. Any changes will be submitted to the TLA Executive Office.

ARTICLE III. MEMBERSHIP

Any person, organization, or institution which is a member of the Texas library Association is a member of District 3, if residing within the boundaries of the District.

ARTICLE IV. OFFICERS

Section 1. Definition

    1. The Executive Committee shall be comprised of the following elected officers:
      • Chair
      • Vice-Chair
      • Councilor
      • Alternate Councilor
      • Secretary
      • Treasurer
      • Immediate Past Chair
    2. One Trustee from the District shall be selected by the Nominating Committee to be on the Executive Committee.

Section 2. Qualifications

Each officer must be a member in good standing of the Texas Library Association.

Section 3. Nominations

The District Nominating Committee shall nominate at least two (2) candidates for each of the offices to be filled at the Annual District meeting as outlined in Article IV, Section 4.

Section 4. Terms of Office

    1. The Chair, Vice-Chair, Secretary, Treasurer, and Trustee shall serve for one year or until a successor is elected. The Vice-Chair automatically becomes Chair the following year.
    2. The Councilor and Alternate will serve three years or until a successor is elected. The candidate with the highest number of votes shall be elected Councilor. The candidate with the second highest number of votes shall be elected as the Alternate to serve in the absence of the Councilor.
    3. All terms begin immediately after the Texas Library Association's Annual Conference following election. The terms end at the close of the following Annual Conference.

Section 5. Vacancies

      1. The Vice-Chair shall become Chair if a vacancy occurs in the office of Chair. The Vice-Chair shall serve out the remainder of that term and then serve the term as Chair for which s/he was elected. If both of these become vacant simultaneously, the remaining Executive Committee members shall convene the District Nominating Committee to nominate candidates to be voted on in a special election. Those so elected would serve the unexpired terms.
      2. A Councilor who misses three consecutive meetings shall be replaced by the Alternate and a new Alternate appointed by the Executive Committee.
      3. The Chair shall appoint someone to fill any other vacancy on the Executive Committee until the next election

Section 6. Duties

      1. Chair
        1. Preside at District meetings.
        2. Direct work of District.
        3. Appoint all Committee Chairs and supervise their activities.
      2. Vice-Chair
        1. Act as an aide and alternate to the Chair.
        2. Perform duties of the Chair in the absence of that officer.
        3. Coordinate the program for the annual meeting.
      3. Secretary
        1. Record minutes.
        2. Submit reports as required.
      4. Treasurer
        1. Maintain financial records.
        2. Deposit District funds in the TLA Executive Office.
      5. Councilor or Alternate
        1. Represent District 3 at all meetings of TLA Council.
        2. When possible, consult with membership before casting votes.
        3. Notify alternate if not able to attend Council meeting.
      6. Trustee
        1. Represent the interests of trustees and other lay people in the District.
        2. Monitor the activities of the Trustees Round Table and report to membership.
      7. Immediate Past Chair
        1. Serve on the Executive Committee

ARTICLE VI. COMMITTEES

    1. The Chair shall appoint a Nominating Committee each year.
    2. Other committees shall be established by the Executive Committee.

ARTICLE VII. AMENDMENTS

    1. Proposed amendments shall be written to conform with the Bylaws of the Texas Library Association and shall be forwarded to the Chair of the TLA Bylaws and Resolutions Committee for review prior to submission to the membership for vote.
    2. Proposed amendments shall be submitted to the membership at least four weeks before a vote is taken.
    3. Amendments will be passed if approved by two-thirds (2/3) of those casting votes.
    4. A copy of the amended Bylaws must be filed with the Executive Director of the Texas Library Association.

ARTICLE VIII. PARLIAMENTARY AUTHORITY

Robert's Rules of Order, Newly Revised, shall govern the conduct of the meetings of the District. They may be suspended by a two-thirds (2/3) vote of the members in attendance at any regular meeting.
