District 4 Bylaws

ARTICLE I – Name
The name of this organization shall be District 4 of the Texas
Library Association.
ARTICLE II – Objectives
The purpose of District 4 shall be to promote library service
and librarianship in both Texas and the District, and to promote and
support Texas
Library Association programs by means of planned programs in the
District.
ARTICLE III – Membership
- Any member of the Texas Library Association residing
within
the boundaries of District 4, as established by the Association's
Council,
shall be a member. Every such member has the right to vote and is
eligible
to hold office.
ARTICLE IV –
Administration
Section 1. Officers
- The officers of District 4 shall be Chair,
Vice-Chair/Chair-Elect, Secretary, Treasurer, Councilor, Alternate
Councilor, and other officers as
deemed necessary.
- Officers shall assume office immediately following the
Texas Library Association Annual Conference and shall serve a term of
one year. The Councilor and Alternate Councilor shall serve a
three year term of office.
- The duties of the officers of District 4 shall be as
follows:
- The Chair
shall preside at District meetings, appoint committees as necessary,
and direct the work of the District.
- The
Vice-Chair/Chair-Elect shall act as an aide and alternate to the Chair
and, during the Chair's absence, perform the duties of the Chair. The
Vice-Chair/Chair-Elect shall Chair the Program Planning Committee and
be responsible for the annual District meetings and/or programs.
- The Secretary
shall record the minutes at all District meetings and shall submit
reports
as required.
- The Treasurer
shall maintain the District's financial records, deposit all District
funds
with the TLA executive office, and shall submit reports as required.
The
Treasurer shall collect fees for District programs and issue receipts
to
members.
- The Councilor
shall attend all meetings of the TLA Council, submit all
resolutions
from the District that require Council actions, and shall serve as
liaison
between TLA Council and District 4, TLA.
- The Alternate
Councilor shall, during the Councilor's absence, perform
the
duties of Councilor.
- A Trustee
from the District may be appointed to serve on the Executive
Board and District Program Planning Committee.
d. Each
officer shall be a member in good standing of District 4, TLA.
Section 2. Elections
- A Nominating Committee elected by the Executive Board of
the District shall present a slate of candidates for all offices.
There shall be at least two candidates
for the office of Councilor. Nominations may be made from the floor.
- Officers shall be elected at a regular business meeting
during the District's annual meeting by a plurality of the members
present. The Councilor
candidate with the highest number of votes shall be elected Councilor.
The
candidate with the second highest number of votes shall become the
Alternate Councilor. In case of a tie vote, the officer shall be
selected by lot.
Section 3. Executive Board
- The elected officers and the appointed Trustee shall
constitute the Executive Board and shall administer the business of the
unit when it is not in session.
- The Executive Board shall meet at TLA Annual Conference,
TLA Annual Assembly, and the fall District meeting. Other meetings may
be held as deemed necessary by the Chair or a majority of the Board.
Section 4. Vacancies
- If a vacancy occurs in the office of the Chair, the
Vice-Chair/Chair-Elect shall become Chair for the remainder of that
term and also serve the term to which the Chair-elect has been elected.
- If a vacancy occurs in any of the other elected offices,
the Chair, with the approval of the Executive Board, shall fill the
vacancy by appointment until the next general election.
- If a vacancy occurs in both the Chair and the Vice-Chair
positions, the President of the Texas Library Association shall appoint
a new Chair, who shall proceed as outlined above.
ARTICLE V – Meetings
- Regular meetings shall be held annually in conjunction
with
the TLA Annual Conference and the TLA Annual Assembly. The District
shall
also hold an annual fall meeting.
ARTICLE VI – Committees
- The Executive Board, without the participation of the
Chair, shall appoint a Nominating Committee. The Nominating
Committee will
present
a slate of officers from geographically diverse areas of District 4.
The
Vice-Chair/Chair-Elect candidates should be selected so that different
geographical
areas of District 4 are represented in rotation.
- The Chair shall appoint a District Program Planning
Committee each year. The Vice-Chair/Chair-Elect shall serve as Chair of
the District Program Planning Committee.
- Other committees shall be created as needed by the
Executive Board or the Chair. The Chair shall appoint the members and
designate the chair of each committee. The committees shall serve until
their charges have been completed and reports have been accepted or
until such time as the
Executive Board designates.
ARTICLE VII – Amendments
to the Bylaws
- These bylaws may be adopted or amended at any general
membership meeting after notice of the unit by a majority vote of the
membership present, provided such amendments are consistent with the
Bylaws and Standing Rules of the Texas Library Association.
ARTICLE VIII –
Parliamentary Authority
The latest edition of Robert's
Rules of Order, Newly Revised, shall govern the conduct of the
meetings.
